Rationale:

Rationale:
Energy Management of Facilities, Inc (“EMF”), was acquired by Stark Tech®. EMF has requested permission from the Yonkers Board of Education to approve the assignment of contract and transfer of the EMF accounts and agreements to Stark Tech®. As part of the acquisition, EMF assigned all customer accounts and agreements to Stark Tech®; accordingly, all EMF accounts and agreements are now solely owned and will be honored and serviced by Stark Tech®.

Whereas the District entered into a contract with Energy Management of Facilities, Inc. (“EMF”) per resolution No. 16.32, June 16, 2021.
Whereas Stark Tech® . (“Assignor”) had acquired EMF and that EMF will do business as Technical Building Services, Inc., a Stark Tech business (“TBS”).
Whereas the Department is requesting that the Board of Education approve the assignment and approve all rights, interest, obligations, and duty of performance of EMF contract 2022-00000065 now be assigned to TBS;.
NOW THEREFORE BE IT RESOLVED: That the Yonkers Board of Schools hereby approves the Assignment of CONTRACT # 2022-00000065 from Energy Management of Facilities, Inc to Technical Building Services, Inc., a Stark Tech business, and the Superintendent of Schools is hereby authorized to continue the agreement with Technical Building Services, Inc., to maintain and repair of the various HVAC control systems in the Yonkers Public Schools District for an annual cost of $933,600.00 and that the Superintendent is authorized to complete any necessary paperwork to effectuate the assignment.
